TERMS, FEES & COMMERCIAL POLICIES

CLEAR BOOKING COMMITMENTS · TRANSFER CREDIT · MANDATORY RIGHTS PRESERVED

Current commercial, programme, payment, cancellation and legal terms for services sold directly by Virtual Production Dojo Limited.

Effective 30 August 2026 · Version 2.0

CORE COMMERCIAL RULE

A Booking Is a Commitment

No voluntary cash refunds for participant-initiated change-of-mind cancellations.

Except where a refund or another remedy is required by mandatory law, where VPD cancels and an appropriate alternative is not accepted, or where a programme-specific written agreement expressly provides otherwise, confirmed programme fees are non-refundable.

Where this policy permits, the contractual alternative to a cash refund is a Programme Transfer Credit.

A change of mind, inability to attend, work commitment, scheduling conflict, travel disruption, failure to obtain employer approval or funding, change in personal circumstances, failure to attend, partial attendance, failure to complete, dissatisfaction with personal progress, or a decision that the programme is no longer required does not by itself create a contractual entitlement to a cash refund after any applicable statutory withdrawal period has expired.

The contracting seller is identified before commitment.

The relevant programme page, formal offer, invoice, checkout or statement of work identifies the legal seller. Where another entity sells a specific programme, that entity's terms govern that transaction.

The Trondheim Executive Education cohort sold exclusively through EduThinkering Consultancy is governed by EduThinkering's Norwegian programme terms.

FEES & PAYMENTS

Clear Before You Commit

Pricing, tax and payment

  • Current price: the programme page, accepted offer, quotation, statement of work or checkout states the contractual fee.
  • Currency: the currency shown in the accepted transaction is the contractual currency.
  • Taxes: applicable VAT, GST, sales tax or similar charges are shown or confirmed where required.
  • Payment: a programme may require full payment, a deposit, staged payments or an accepted purchase order.
  • External fees: banks, card issuers and payment providers may apply charges or exchange rates outside VPD's control.
  • Institutional procurement: quotations, purchase orders, vendor onboarding and agreed procurement documentation may be supported.

When a booking becomes binding

An enquiry, expression of interest, readiness assessment or programme conversation does not by itself create a contract.

A binding booking is formed through the process stated for the relevant programme or engagement, which may include online checkout, written acceptance of a formal offer, an accepted purchase order or payment commitment, a signed statement of work, or payment where the offer states that payment confirms the booking.

A confirmed place may be released, digital access suspended or commissioned work paused if an agreed payment is overdue, subject to the accepted contract and applicable law.

01

Eligibility and prerequisites

Participants must meet any published age, technical, language or professional prerequisites and provide accurate registration information.

02

Participant responsibilities

Participants are responsible for attendance, respectful professional conduct, suitable technology for online delivery and completing any published preparation. Paid credentials and logins must not be shared.

03

Reasonable delivery changes

VPD may make reasonable changes to faculty, sequencing, examples, software versions, delivery technology or venue where operationally necessary, provided the material programme purpose and value are not substantially reduced.

04

Third-party platforms

Programmes may rely on external software, learning systems, video platforms or cloud services. VPD will take reasonable steps to adapt if a third-party service changes or becomes unavailable but does not control independent third-party outages or policy changes.

05

Certificates

Unless expressly stated otherwise, VPD certificates are non-credit professional learning credentials and are not university degrees, regulated qualifications, professional licences or guarantees of employment.

06

No guaranteed commercial outcome

Training and advisory work supports informed decision-making but does not guarantee employment, revenue, investment returns, grant success, procurement approval or any particular creative or technical outcome.

ON-DEMAND & SELF-PACED LEARNING

Digital Access Is Different

Digital products require a separate checkout workflow because access can begin immediately and programme materials can be consumed or downloaded immediately.

Digital-course refund position

Change of mind after access: VPD does not provide a voluntary cash refund or transfer credit merely because a participant no longer wants, uses or completes a self-paced or on-demand digital course after access has begun.

Where mandatory EEA/Norwegian withdrawal law applies, immediate access must be implemented through the legally required prior express consent, acknowledgement of the consequence for the withdrawal right, and confirmation process before VPD relies on loss of the withdrawal right.

If the required consent workflow has not been completed, VPD will not rely on this clause to remove a statutory withdrawal right.

PUBLIC LIVE PROGRAMMES

Cancellation Means Credit, Not Cash

The following is VPD's contractual cancellation model after any applicable statutory withdrawal period has expired. Mandatory legal rights always take precedence.

Participant cancellation after any applicable statutory withdrawal period has expired Cash refund Programme Transfer Credit
More than 14 calendar days before first live session No voluntary cash refund 100% credit
8–14 calendar days before first live session No voluntary cash refund 50% credit
7 calendar days or fewer before first live session No voluntary cash refund No contractual credit
No-show, late arrival, early departure or partial attendance No voluntary cash refund No contractual credit

The 14-day figure above is a VPD credit rule, not an extension of a statutory withdrawal period.

Where an EEA/Norwegian statutory withdrawal right applies, its timing is normally calculated from contract formation. The credit table applies only after that mandatory right has expired.

Programme Transfer Credit

  • A Programme Transfer Credit has no cash value and is not a refund.
  • It may normally be used once toward an eligible VPD programme commencing within 12 months of the original programme start date.
  • It is issued to the original payer/participant and may not be sold or transferred to another person without VPD's written approval.
  • If the replacement programme costs more, the difference must be paid.
  • If it costs less, the unused balance is not paid out in cash.
  • Use is subject to programme availability, prerequisites and capacity.
  • For an in-person programme, expressly disclosed and non-recoverable third-party costs committed specifically because of the booking may be deducted from the credit to the extent permitted by law.
  • Exceptional hardship may justify an extension or additional transfer at VPD's discretion, but does not create a contractual cash-refund right.

When VPD cancels or materially changes delivery

If VPD cancels a paid public programme and cannot deliver the contracted service, the payer will be offered an appropriate rescheduled or equivalent programme where available.

If the payer does not accept the proposed alternative, or an appropriate alternative cannot reasonably be provided, VPD will refund the programme fees paid for the cancelled service to the extent required by the contract and applicable law.

If VPD materially changes confirmed programme dates and the participant cannot reasonably attend, VPD will provide the remedy required by the accepted contract and mandatory law.

MANDATORY RIGHTS

The Legal Minimum Is Preserved

The no-voluntary-refund rule operates only after and subject to any mandatory statutory right that applies to the particular transaction.

Norway and EEA consumers

Norway / EEA distance contracts. Where the statutory right of withdrawal applies to an eligible consumer, the ordinary service-contract withdrawal period is generally 14 days from the date the service contract is entered into, provided the required information has been supplied.

If VPD begins a paid service during the withdrawal period at the consumer's express request, VPD may charge proportionately for service already supplied only where the statutory information and request requirements have been satisfied.

If required withdrawal information is not supplied, the statutory period can be extended. VPD therefore treats consumer pre-contract disclosure and confirmation as part of the booking process, not as optional website copy.

New Zealand consumers

New Zealand. A customer does not ordinarily receive a refund merely because they changed their mind or their circumstances changed. However, the Consumer Guarantees Act and other mandatory law can provide remedies where services fail to meet applicable statutory guarantees.

A VPD cancellation or credit clause does not remove a non-excludable statutory remedy.

BUSINESS & INSTITUTIONAL CLIENTS

Commissioned Work Uses Written Commercial Terms

Private cohorts, institutions and professional engagements

Business, institutional and professional-purpose engagements may be subject to a quotation, statement of work, purchase order or other written commercial agreement.

Unless that agreement states otherwise, a client-requested cancellation does not create a right to a cash refund. Rescheduling, substitutions or credits are available only on the terms agreed for the engagement.

Client-approved or expressly disclosed non-recoverable third-party commitments, including venue hire, specialist travel, accommodation, equipment, licences, hired crew or external production services, remain payable where the accepted commercial agreement provides for them.

Where New Zealand law permits parties in trade to contract out of particular statutory provisions, that will be addressed in a specific written B2B agreement rather than assumed from these public consumer-facing terms.

Intellectual property

VPD and its licensors retain intellectual-property rights in curriculum, slides, demonstrations, exercises, templates, recordings, project files, teaching resources and brand assets unless stated otherwise.

Participants receive a personal, non-transferable licence for their own learning or internal professional reference. Without written permission they must not redistribute, resell, publicly upload, share paid access credentials, remove rights notices, or reproduce substantial VPD curriculum or materials as a competing commercial course.

Conduct and removal

VPD may suspend or remove a participant for unlawful, threatening, harassing, discriminatory, unsafe, fraudulent or materially disruptive conduct; impersonation; intentional interference with delivery; serious misuse of confidential material; or unauthorised distribution of protected programme materials.

Any financial consequence of removal will be proportionate to services supplied, reserved capacity, non-recoverable commitments and losses caused by the breach, subject to mandatory law.

Payment disputes and chargebacks

Participants and payers should raise genuine payment or service disputes with VPD promptly so they can be investigated.

Nothing restricts a lawful consumer complaint or bank/card dispute right. However, knowingly false, duplicate or misleading refund or chargeback claims may be contested using the accepted terms, order and payment records, access logs, attendance records, correspondence, digital-consent records and evidence of programme delivery.

A chargeback does not automatically extinguish an amount that remains lawfully due.

COMPLAINTS & DISPUTES

Raise the Issue Directly

Complaints, disputes and governing law

Questions, cancellations and complaints should first be raised directly with VPD so they can be investigated and, where possible, resolved in good faith.

These general terms are governed by New Zealand law where VPD is the contracting seller, subject to mandatory consumer protections and jurisdiction rights that cannot lawfully be displaced in the participant's country of habitual residence.

Nothing prevents a person from using a regulator, court, payment provider or consumer dispute mechanism where applicable law gives that right.

Version, precedence and severability

Effective date: 30 August 2026
Version: 2.0

The version supplied, linked or incorporated when a binding transaction is entered into applies to that transaction unless a later change is required by law or expressly agreed.

Programme-specific written terms, quotations and statements of work take precedence where they are more specific, to the extent permitted by mandatory law.

If a provision is invalid or unenforceable, the remaining provisions continue to apply to the extent legally possible.
